TRANSFER OF SHARES

So long as the Investor's Relevant Shareholding Interest in XX is [not less than 1%], any Founders who wishes to sell, transfer or otherwise dispose of its Shares prior to the IPO ("Offeror Shareholder") shall be entitled to do so only, unless with the consent of the Investor, in accordance with the following provisions:

(a)the Offeror Shareholder shall give a notice in writing ("Transfer Notice") to all the other shareholders of XX ("Offeree Shareholders") offering (in the proportion pro rata to the respective shareholdings of the Offeree Shareholders) to sell all or part of the Shares beneficially owned by the Offeror Shareholder ("Offer Shares");

(b)the Transfer Notice shall give details of the Offer Shares, state the price per Offer Share ("Transfer Price") and state the identity of the proposed purchaser of the Offer Shares ("Third Party Purchaser") in case the offer contained in the Transfer Notice is not accepted by the Offeree Shareholders;

(c)the Transfer Notice is irrevocable and shall not, unless with the prior written consent of the Offeree Shareholders, contain any terms and conditions in relation to the offer for sale of the Offer Shares apart from the terms set out in or otherwise expressly permitted by this Clause 11.1;

(d)each of the Offeree Shareholders shall be entitled, within a period of 30 days from the date of the Transfer Notice, to accept the sale of the Offer Shares by giving notice in writing to the Offeror Shareholder ("Acceptance Notice");

(e)completion for the sale and purchase of the Offer Shares, in case the offer contained in the Transfer Notice is fully accepted, shall be completed at the time and place as agreed between the parties or, failing which, on the first Banking Day after [30] days from the date of the Acceptance Notice. In return for payment of the purchase consideration in full, the Offeror Shareholder shall deliver to the Offeree Shareholders duly executed share transfers of the Offer Shares in favour of the Offeree Shareholders. The Offer Shares shall be transferred and assigned by the Offeror Shareholders as the beneficial owner thereof and free from all encumbrances, liens and claims whatsoever with all rights and entitlements attaching thereto;
